One-Time HR Related Inquiry Agreement. 1. Agreement Term. The term of this agreement shall commence on the effective date and shall continue until it is terminated. 2. Services. The consultant agrees to perform one-time consulting services related to human resources services and  employment-related recommendations as considered reasonable. The consultant does not provide legal or financial advice and recommends the client consults legal counsel or a tax consultant regarding employment law and other related employment services. 3. Authorization. The client authorizes the consultant to obtain access to employee personnel files, time clocks, payroll records, and health benefits information for review and auditing purposes as necessary and agreed upon. 4. Confidentiality. The consultant will retain the confidentiality of all of the client’s business and employee confidential information and will not disclose confidential information except as required for services under this agreement. 5. Compliance. The client shall comply with all applicable federal, state, and local laws including but not limited to OSHA, HIPPA, Workers' Compensation, Pay Equity, EEO, and BOLI Regulations. 6. Fees. The client agrees to pay the consultant fees agreed to as follows: One-Time HR Inquiry $249. The one-time HR inquiry is designed for companies with HR questions. The question will be submitted via email or phone and a response will be by either email or phone. In the event, you choose to upgrade to a monthly subscription, the one-time fee will be pro-rated toward the set-up fee. Monthly plans require a minimum of three months or receive a 13% discount if you pay for the full 12 months upfront. ACH auto debit is required for monthly and annual payments. Most plans include regular HR meetings via phone or Zoom. Any service that requires an exponential amount of time to perform that is over and above the regularly performed services will be subject to a review of fees, charged by the hourly rate, and may be set apart within a separate agreement. The client is required to submit a payroll roster for the last pay period of each month and prior to the first day of each month. 7. Invoices. Invoices are sent via email to the client once payment has been submitted and the inquiry has been responded to. 8. Payment. Payment shall be paid prior to services being provided. 9. Modification. Either party may request a modification of this agreement by submitting it in writing and shall only be valid when is signed by all of the parties. 10. Termination. Once the consultant has provided the client with the response to its inquiry, this agreement is considered terminated. Upon termination of this agreement, all services agreed to up to the termination date shall be considered completed. 11. Dispute Resolution and Arbitration. If a dispute shall arise out of this Agreement, all parties agree to attempt to resolve the dispute through discussion within 30 days after either party’s written notice of the dispute. In the event resolution by the parties is unsuccessful, all parties agree for the dispute to be settled by binding arbitration that includes the interpretation and enforcement of this agreement. This contract does not preclude me to represent my company as a creditor in bankruptcy court. The parties agree to all resolutions determined by the arbitrator, the prevailing party will be entitled to collect the award, including reasonable attorney’s fees, costs, disbursements, and administrative costs in connection with binding arbitration. 12. Jurisdiction. This agreement shall be interpreted and enforced according to the laws of the State of Oregon. The jurisdiction for any unresolved disputes relating to this Agreement shall be presided over by the courts located in Washington County, Oregon. 13. Implementation. This agreement is the entire agreement of the parties. There are no promises, terms, conditions, or obligations other than those contained in this agreement. This agreement shall supersede all prior communications, representation, and agreements, oral or written, of the parties. The Parties hereby agree that this agreement shall be considered fully executed.

    Other Fees and Services. Set up $500 For all monthly plans, a one-time non-refundable set-up fee must be paid prior to providing services. Monthly Subscription Plans. The monthly subscription requires a minimum of three months or receive a 13% discount if you pay for the full 12 months upfront. Pro-rated credit toward the upgrade into the next plan. Any service that requires an exponential amount of time to perform that is over and above the regularly performed services will be subject to a review of fees, charged by the hourly rate, and may be set apart within a separate agreement. The client is required to submit a payroll roster for the last pay period of each month and prior to the first day of each month. HR Outsourcing Services Monthly Plan; $125 per employee, per month. The HR Outsourcing Services monthly fee is established for ongoing human resources outsourcing, coaching, and consulting services, which may include the review, audit, and services provided as needed; per employee, per month for companies with less than 50 employees. Most services will be performed remotely and in some instances at the client’s work location(s). This plan includes an HR audit, custom forms, and a custom policy handbook. HR Support and Coaching Monthly Plan; $99 per employee, per month. The HR Support and Coaching monthly fee is established for ongoing human resources support, consulting, and coaching services which may include the review, audit, and services provided as needed; per employee, per month for companies with less than 50 employees. Most services will be performed remotely. This plan includes an HR audit, custom forms, and revision recommendations to a current policy handbook. A 17% discount is offered with the purchase of the custom policy handbook. HR Set-Up and Support Monthly Plan; $79 per month. The HR Set-up and Support monthly fee is established for ongoing human resources set-up and consulting support and services provided as needed; per office, per month for companies with no employees yet. The client is required to submit a payroll roster once one is available and move to the next plan. Services are performed remotely. This plan includes HR forms and a basic policy handbook. Recruitment Retainer $500. A recruitment retainer must be established prior to services being performed. The retainer will be used for expenses related to products and services and necessary recruitment expenses such as job postings, resume searches, background screens, and any other recruitment expenses as needed. The client may be required to add additional sums to the retainer by ACH if the retainer falls below $300. Any amount remaining after this agreement has been terminated, job postings and searches have been exhausted, and the account has been balanced, will be returned to the client within 60 days of the termination date. Requisition Fee; per month, $150 per open requisition, per month. The requisition fee represents the management and record of each open job per month and is non-refundable and paid prior to providing services. Permanent Placement Fee, 11.5% of the gross annual salary, per position, per filled requisition. The placement fee for services is non-refundable and is to be paid within 10 days of the placement's first day of employment and is for services related to the recruitment and hiring of permanent employees including sourcing applicants, conducting phone screens, qualifying applicants, scheduling client site interviews, conducting reference checks, verification of licenses and certifications, and instructions to complete the federal I9 form. Optional support includes extending employment offers on behalf of the client, initiating paperwork, and submitting the criminal background and/or drug screen. Hourly Rate Services $150. The hourly fee is billed per hour and is reserved for consulting and business services when services require additional time and, as needed, as agreed upon and in advance of services being performed. Services will be billed per hour and may include additional services related to previous audits and/or projects. Custom HR Forms and Templates $500. Custom HR forms and templates produced for HR activities such as hiring and onboarding, disciplinary action, documentation, performance and reviews, approved leave, and terminations. HR Audit $800. The HR audit is a comprehensive detailed audit of the current HR processes. The audit will identify initial areas of policy and procedure concerns and provide direction for the areas to focus on. Custom Policy Handbook $3,000. The custom policy handbook includes a detailed audit with recommendations for language and policy revisions and updates related specifically to the company functions and compliance with federal, state, and local laws.
